Know what the SPA committed you to
Every obligation, earnout and deadline from the deal set in one register, each with the clause it came from.
For M&A deal teams
Telovant finds the obligations in your SPA, schedules and side letters and shows the exact clause behind each one. Your team approves every item before it is monitored.
For deal leads, portfolio operations and general counsel.
Tested monthly against attested measurements until the escrow is released.
The Purchaser shall procure that the Group maintains, at all times prior to the Escrow Release Date, an aggregate cash balance of not less than EUR 2,500,000.

What Telovant does
From the first upload to the last covenant test, the AI shows its sources and a person makes the decision. Pick a job to see how it works.
Every item lands in a review queue with its source passage and confidence score. Nothing is monitored until someone commits it. Approved items go into one register for all documents.

Fictional deal. Try the two buttons.
Enter a baseline, milestones and a target. Telovant calculates the expected value for every date in between, so each new figure shows straight away whether the goal is on track or at risk. Covenant tests check every new measurement against their threshold.
Reading for 2026-07-31: €2.98M, expected €3.08M −3.3%
Fictional deal.
Telovant compares the documents in each workstream and quotes both passages word for word. You decide which version applies. A waiver is approved at two levels by two different people, and the person who proposed it can't approve it.

Data sources
Covenant tests and goals need fresh figures every month. Telovant takes them in from your existing systems and tests each one against its threshold the moment it arrives. You choose per obligation whether a figure is applied directly or waits for review.
Your treasury, ERP or reporting system pushes a figure to the obligation's own address, signed with a key you can rotate.
Forward the monthly accounts or a CSV export to the deal's address. Telovant reads the document or the mapped column. Mail from a sender that is not on the list is held in quarantine.
A named person enters the figure and signs it off. Useful for one-off certificates and board minutes.
Point Telovant at a published page, such as a reference rate or an index, and it reads the figure on a schedule.
Telovant fetches a CSV, XLSX or PDF from a fixed address, for example a data room export, and reads the mapped figure.
Fictional deal. Every arrival is kept, including the ones that were rejected.
Reliability and security
Deal documents are confidential and the numbers carry consequences. Every figure can be traced, and every decision has a name and a date.
Each extracted value links to the file, section, page and exact passage.
Extracted items wait in a review queue until a person approves them.
When you change a value, the AI can't replace it. Each field shows whether a person or the AI set it.
Entries can only be added. Each one carries a hash of the one before, so any change would show.
Who uses it
Every obligation, earnout and deadline from the deal set in one register, each with the clause it came from.
Figures come in by API, by email or by hand. Each one is tested against its covenant threshold or goal path.
Conflicts between the SPA and side letters are quoted side by side. Decisions and waivers are recorded with a name and a date.
Goal statuses roll up from objective to workstream and portfolio, so a deal that falls behind shows up early.

Back-test pilot
Upload the documents of a closed deal and the reports you received after closing. Telovant replays the deal date by date, using only what your team had on each date, and shows what it would have flagged next to what actually happened.
Nothing is uploaded until the DPA is signed.
Fictional deal: Project Kestrel. Warning = days between the first flag and the event.
